Important Disclosures
No offer or solicitation
The information on this website is provided for general informational purposes only. It does not constitute an offer to sell or a solicitation of an offer to purchase any security, interest, or investment product, and it is not a recommendation to enter into any transaction. Any such offer or solicitation will be made only to qualified prospective investors, and only by means of a confidential private placement memorandum, limited partnership agreement or operating agreement, subscription agreement, and related definitive documents (together, the "Offering Documents").
In the event of any inconsistency between this website and the Offering Documents, the Offering Documents govern in all respects. Prospective investors should rely only on the Offering Documents and should not rely on this website in making any investment decision.
Eligibility
Catalyst+ relies on Rule 506(c) of Regulation D under the Securities Act of 1933, as amended. All purchasers must be accredited investors, and the fund must take reasonable steps to verify that status. Additional eligibility requirements, including qualified client or qualified purchaser standards where applicable, are determined by the fund’s Offering Documents and applicable law or relief. These terms are distinct and are not interchangeable. Visiting this website or contacting the firm does not establish eligibility or admission. Any investment is subject to verification, the Offering Documents, and acceptance by the fund.
No registration; no regulatory approval
Interests in the funds have not been and will not be registered under the Securities Act or under the securities laws of any state or other jurisdiction, and are offered in reliance on exemptions from registration. The funds are not registered as investment companies under the Investment Company Act of 1940 in reliance on an available exclusion, and investors are therefore not afforded the protections of that Act.
Neither the U.S. Securities and Exchange Commission, the Utah Division of Securities, nor any other federal or state regulatory authority has approved or disapproved of any interests, passed upon the merits or fairness of any offering, or determined that this website or any Offering Document is accurate or complete. Any representation to the contrary is unlawful.
Status of J | R
Johnson Randall LLC (J | R) files as an exempt reporting adviser in the State of Utah. Exempt reporting adviser status is distinct from registration as an investment adviser and does not constitute approval, endorsement, or a finding of competence by the Utah Division of Securities, the U.S. Securities and Exchange Commission, or any other regulator. Exemption from adviser registration does not remove applicable antifraud obligations or other requirements imposed by law or the terms of applicable exemptive relief. Public filings, where available, may be reviewed through the Investment Adviser Public Disclosure database.
Risk of loss
An investment in a private fund involves a high degree of risk, including the risk that an investor may lose all or a substantial portion of its invested capital. Material risks include, without limitation:
- Illiquidity. Interests are not transferable without the consent of the general partner or manager, no secondary market exists or is expected to develop, and withdrawal or redemption rights are limited and may be suspended, gated, or subject to lock-up periods.
- Options and changing exposure. Equity and options positions can result in substantial losses. Short options create obligations, including potential assignment and funding requirements. A put spread’s protection depends on both legs remaining intact and on their terms. Monetizing or removing a protective put changes the risk. Assignment may result in stock ownership and substantial additional exposure. Covered calls limit upside and do not eliminate stock downside; collars depend on their strikes, term, and continued implementation. Liquidity, transaction costs, execution, and market gaps can impair an adjustment or exit.
- Concentration and common risk drivers. Positions may share sensitivity to market conditions, sectors, catalysts, or option expirations. Multiple assignments or adverse price moves can increase portfolio exposure and liquidity needs. Applicable portfolio limits are set out in the Offering Documents.
- Valuation. Certain holdings may be difficult to value, and valuations may be based on estimates that differ materially from realized proceeds.
- Dependence on key persons. The funds depend substantially on a small number of individuals.
- Fees and expenses. Management fees, performance-based compensation, if applicable, and fund expenses reduce investor returns and may be substantial. Performance-based compensation can create incentives to take additional risk. Applicable fees and conflicts are described in the Offering Documents.
- Limited transparency and limited investor control. Investors will not participate in the management of the funds and may receive limited information about portfolio holdings.
- Tax. An investment may generate complex tax consequences, including delayed delivery of Schedule K-1s and taxable income without corresponding distributions.
This list is not exhaustive. A complete discussion of risk factors is set forth in the Offering Documents.
No performance information
This website does not present fund returns or hypothetical fund performance. Podcast discussions, examples of securities, and descriptions of options positions are educational and are not a record of the fund’s actual investments or results. Nothing on this website predicts or guarantees future results. Past performance is not indicative of future results. Any fund performance information provided separately must be considered with its methodology, limitations, fees, expenses, risk disclosures, and the Offering Documents.
No advice
Nothing on this website constitutes legal, tax, accounting, regulatory, or investment advice, and no content is tailored to the objectives, financial situation, or needs of any particular person. Prospective investors should consult their own advisers before making any investment decision.
Forward-looking statements
This website may contain statements regarding market conditions, strategy, objectives, or expectations that are forward-looking in nature. Such statements are based on assumptions and are subject to significant business, economic, and competitive uncertainties. Actual events and results may differ materially. J | R undertakes no obligation to update any forward-looking statement.
Third-party information and links
Certain information on this website has been obtained from third-party sources believed to be reliable. J | R has not independently verified such information and makes no representation as to its accuracy or completeness. Links to third-party websites are provided for convenience only and do not constitute an endorsement; J | R is not responsible for the content of any linked site.
Jurisdiction
This website is directed only to persons in jurisdictions where its publication and availability are permitted. It is not directed to, and is not intended for use by, any person in any jurisdiction where such use would be contrary to law or regulation.
Changes
Information on this website is subject to change and may become outdated. Statements about the strategy reflect the approach described at the time of publication and may change as circumstances warrant. Nothing in this website limits any disclosure, reporting, or other obligation imposed by applicable law.
Podcasts and third-party commentary
Podcast guests speak for themselves. Their views are not statements of the fund’s positions, performance, or investment recommendations. References to securities, strategies, or trades are not a complete account of the fund’s investments. Links to external media do not establish an advisory relationship.
Privacy policy.
1. Scope and who we are
Johnson Randall LLC (“Johnson Randall,” “we,” “us”) provides this policy to explain personal information associated with this informational website and inquiries arising from it. Our office is at 95 S State Street, Ste 850, Salt Lake City, UT 84111. This policy addresses website visitors and people who contact us or schedule a conversation. Investor onboarding, subscription documents, verification, and the handling of investor financial information are separate processes and may be covered by additional privacy notices. This policy does not replace any notice required for those activities.
2. Information associated with your visit
When your browser requests a page or resource, the server providing it necessarily receives connection information, such as an IP address and the requested resource. Depending on its configuration, the website host or other resource provider may retain access or security logs containing request times, browser or device details, requested URLs, referring-page information, and error information. We may receive information made available to us through those services for operating and securing the site.
The website does not offer visitor accounts, a contact-submission form, document uploads, investment subscriptions, or payment processing. Podcast and article searches, topic filters, sorting, and load-more controls run within the page in your browser. Our website code does not send your search text to us or a search provider and does not save it in cookies or local storage. Your browser may separately retain browsing or form history according to its settings.
3. Scheduling and information you provide
“Schedule a conversation” opens a separate Calendly booking page; Calendly is not embedded on this website. If you use it, information you choose to enter—such as your name, email address, appointment details, time zone, or a message—is processed for scheduling and made available to the meeting organizer. Calendly may also process technical information under its own policies. You may receive booking, reminder, cancellation, or rescheduling communications associated with the appointment. Review the booking page and Calendly’s Privacy Notice before submitting information.
If you contact us through other channels or during a conversation, we receive the information you choose to share and the contact details needed to respond. Please do not put account credentials, Social Security numbers, financial statements, identity documents, or other sensitive information in scheduling notes or ordinary website-related messages. We will identify an appropriate process if such information is needed for a separate diligence or onboarding activity.
4. Resources that load automatically
The site loads the Geist typeface through Google Fonts. Podcast archive thumbnails may be requested from YouTube’s image servers. The firm logo, both Contact page building photographs, and the featured podcast thumbnail are served through Webflow’s content-delivery network. Requests to Google Fonts, YouTube, and Webflow occur when the relevant resources load, before you click an external link, and expose connection and request information to those providers. Browser settings and the providers’ own practices affect what additional information is sent or retained.
We do not embed a YouTube video player, Google Maps map, or Calendly scheduler in the website. Clicking a playback, directions, or scheduling link opens that provider’s service, where its privacy practices and settings apply. Google’s privacy information is available at Google Privacy Policy. Other outbound links include FINRA BrokerCheck, the SEC’s Investment Adviser Public Disclosure service, and image-source credits. We do not control those websites.
5. Cookies, advertising, and browser choices
The current website code does not set first-party cookies, use local storage, install analytics or advertising pixels, or run behavioral advertising. It includes no feature designed to sell personal information or share it for targeted advertising. These statements describe the website’s features, not every processing activity of external providers. A resource provider or a service you visit through a link may use cookies or other technologies under its own policies. Hosting security features may also depend on the final hosting configuration.
You can use your browser’s controls to restrict cookies, block third-party requests, clear stored data, or manage tracking preferences. Blocking external resources may affect fonts or images. Calendly and other external services offer their own privacy and cookie settings. The site does not contain code to interpret Do Not Track or Global Privacy Control signals; the absence of that code does not limit rights you may have under applicable law.
6. How information is used and disclosed
We use website-related information to operate and protect the site, troubleshoot errors, arrange and manage meetings, answer inquiries, maintain related business records, and comply with applicable obligations. We may disclose information to personnel and service providers who support these activities, including scheduling, communications, and hosting providers; to professional advisers as needed; or when reasonably necessary to comply with law, respond to lawful requests, protect rights, investigate misuse, or address security incidents. Any additional use requiring consent or notice will be addressed as required by applicable law.
7. Retention and security
Retention depends on the purpose and type of record. Inquiry and appointment records may be retained while needed to respond, manage the relationship, meet recordkeeping obligations, or resolve disputes. Access and security logs depend on the relevant provider’s configuration. Information may remain in backups until those backups expire under the applicable process. A deletion request may not require deletion of records that must be retained by law.
No website, email service, or online transmission can be guaranteed secure. Please limit information submitted through ordinary communications and report a suspected privacy or security issue using the contact details below.
8. Your questions and requests
You may ask about website-related personal information, request access or correction, or request deletion by writing to Johnson Randall LLC, Attention: Privacy, 95 S State Street, Ste 850, Salt Lake City, UT 84111. If you already have an established contact at the firm, you may also direct your request to that person. Identify the request and provide a safe way for us to respond; do not send unnecessary sensitive documents. We may need to verify your identity or authority using information proportionate to the request.
Privacy rights and response obligations depend on applicable law, its scope, and any exceptions. We will evaluate and respond to requests as required by applicable law, explain applicable limitations, and will not unlawfully discriminate against you for exercising a protected right. This policy does not assert that every state or international privacy law applies to the firm. Requests concerning a provider’s independent handling of information should also be directed to that provider.
9. Children and visitors outside the United States
This website is intended for adults and is not directed to children under 18. If you believe a child has provided personal information through a website-related interaction, contact us so we can assess appropriate steps. The firm is based in the United States, and information may be processed in the United States or other locations where relevant providers operate. Visiting the site does not itself constitute consent to a transfer where a separate legal basis is required.
10. Changes to this policy
We will post revisions here with an updated date and provide additional notice or obtain consent when required by applicable law.
Terms of use.
1. Purpose and scope
These terms describe the permitted use of Johnson Randall LLC’s informational website, including its strategy and firm descriptions, podcast and article archives, disclosures, and links to third-party services. Please review these terms and the Privacy Policy before using the site. They do not replace a separately signed agreement or any fund’s offering or governing documents. If you do not wish to use the site under these terms, please discontinue use.
2. Investment information and regulatory status
The site is for general information and education. It is not personalized investment, legal, tax, accounting, or regulatory advice; a recommendation to buy or sell any security; or an offer to sell or solicitation to purchase an interest in a fund. No advisory, legal, fiduciary, or client relationship is created solely by visiting the site, downloading a document, viewing a podcast, or requesting a meeting. Any relationship and its duties depend on applicable law and separate agreements.
Johnson Randall files as an exempt reporting adviser in Utah. Filing or reporting status does not imply regulatory approval, endorsement, or a particular level of skill. Any fund offering is governed exclusively by its definitive Offering Documents and applicable eligibility and verification requirements. Catalyst+ relies on Rule 506(c); all purchasers must be accredited investors and the fund must take reasonable steps to verify that status. Other restrictions may apply. A contact request or access to this website does not qualify or admit anyone as an investor.
Investing involves substantial risk, including possible loss of all invested capital. Options involve obligations, assignment, funding, liquidity, and execution risks; premium is not guaranteed profit. Strategy descriptions are incomplete overviews and may change. See the Important Disclosures and, for any investment decision, the applicable Offering Documents and your own advisers.
3. Podcasts, examples, and external services
Podcast guests express their own views. Discussion of securities or trades is not a complete account of fund holdings or results, a fund performance presentation, or a recommendation by the firm. Educational examples and process diagrams do not promise an outcome or show every relevant risk.
Videos play on YouTube, scheduling takes place on Calendly, and directions open Google Maps. Regulatory databases and image-credit links also lead to external sites. Those services have their own terms and privacy practices. We do not control their availability, accuracy, content, or handling of your information. Links are provided for convenience and do not imply regulatory approval, endorsement of guest opinions, or an advisory relationship with the linked provider.
4. Permitted use and intellectual property
You may view the site and download or print reasonable portions for personal information or bona fide diligence, retaining copyright and other notices. Unless otherwise indicated, rights in the firm’s original website text, design, and branding belong to Johnson Randall or its licensors. Podcast content, third-party photographs, logos, and other materials may belong to their respective owners. Access to the site does not transfer ownership or grant permission to commercially reproduce or distribute those materials. Rights provided by applicable law remain unaffected.
Do not impersonate the firm, misrepresent its content, attempt unauthorized access, introduce malicious code, disrupt the site, evade security controls, or collect personal information from it unlawfully. Ordinary linking to publicly available pages is permitted if it does not falsely suggest sponsorship or alter the context in a misleading way.
5. Contacting the firm
Please provide accurate information when requesting a meeting. A scheduling confirmation does not accept an investment, promise a service, or establish eligibility. We may decline or reschedule a request. Do not submit trade orders, money-transfer instructions, subscription instructions, credentials, or sensitive financial or identity documents through scheduling notes or ordinary website-related communications. No such transaction is executed through this site.
6. Accuracy, availability, and changes
Information reflects the circumstances described when prepared and may become outdated. We may correct or update content, change features, or suspend access for maintenance, security, or other legitimate reasons. We do not warrant that the site will always be available, error-free, or compatible with every device. Forward-looking statements and investment views are uncertain; actual events may differ. These statements do not excuse misleading content or limit any legal obligation to correct, disclose, or update information.
7. Website warranties and liability
To the extent permitted by applicable law, the informational website is provided “as is” and “as available,” without warranties of uninterrupted availability, fitness for a particular purpose, or freedom from technical errors. To that same extent, Johnson Randall is not responsible for indirect or consequential losses caused by technical unavailability, unauthorized third-party interference, or your reliance on incomplete website information. This paragraph is limited to website use; it does not amend fund documents or separately agreed duties.
Nothing in these terms excludes or limits liability for fraud, willful misconduct, gross negligence, or any liability that cannot lawfully be excluded. Nothing waives rights or remedies under federal or state securities laws, applicable privacy laws, or other nonwaivable law, or any fiduciary duty that applies to the actual relationship. No provision requires you to release a securities law claim, accept mandatory arbitration, or waive participation in a class action.
8. Governing law and interpretation
Utah law governs these terms to the extent applicable, without displacing federal law or mandatory protections of another jurisdiction. These terms do not impose an exclusive forum or shorten any statutory claim period. If a provision is unenforceable, the remaining provisions continue to apply to the extent permitted by law. A failure to enforce a provision on one occasion does not waive other rights.
9. Revisions and contact
Revised terms will be posted with an updated date and apply prospectively to the extent legally effective; revisions do not retroactively waive accrued rights. Additional notice or agreement will be sought where required by law. Questions may be sent to Johnson Randall LLC, Attention: Website Terms, 95 S State Street, Ste 850, Salt Lake City, UT 84111, or raised with an established firm contact.
